Merisel to Purchase Crush Creative

Increasing its West Coast presence and capabilities.

Merisel Inc. has entered into an agreement to acquire the assets of Crush Creative, the California-based graphic-communication and imaging company. The purchase price will be $7 million in cash, plus an additional amount of up to $2.5 million over a 4-year period (provided Crush's net of excess capital expenditures exceeds certain agreed-upon thresholds). The transaction is expected to close during Q3 2005.

The acquisition of Crush will enhance Merisel's operations by increasing its West Coast presence and capabilities, Merisel reports. In addition, the company believes it will benefit by diversifying its current client industries, be better able to serve its existing clients, and achieve certain cost savings and cross-selling synergies.

Based in New York, Merisel comprises three wholly owned companies–Color Edge Art, Color Edge Visual, and Comp24″?which the company acquired in early 2005. (Merisel: www.merisel.com, Crush Creative: www.crushcreative.com)
